Light Partner Training Access Terms

These terms govern your access to Light for partner training and enablement.

"Light" or "we" means Light Company ApS, Skelbaekgade 2, 6th floor, 1717 Copenhagen, Denmark (registration number 43523503).

"You" means the individual named on the sign-up form. By completing the form and ticking

1. Acceptance and scope

1.1 These terms are a binding agreement between Light and you. You accept them as a named individual, in a professional capacity as part of your role with your company.

1.2 They cover only your access to Light for partner training and enablement (the "Training Access"), in the training environment Light provides (the "Training Environment"). They do not cover any purchase, resale, partnership, or production use of Light.

2. Your Training Access

2.1 Light grants you a personal, non-transferable, non-exclusive right to use the Training Environment for training and enablement only, during the Training Period.

2.2 "Training Period" means the period from when your access is granted until it ends or expires under clause 11.

2.3 Your access is for you as a named user. Do not share your login credentials. You are responsible for all activity under your login, and you must tell Light promptly if you believe your credentials have been compromised.

3. Permitted use

3.1 Use the Training Environment only to learn Light and to demonstrate it in a training or mock setting.

3.2 Do not use it for any live, business, or production purpose, or for or on behalf of any third party.

4. Training data

4.1 Work only with the Northloop Robotics training dataset that Light provides (the "Training Data").

4.2 Do not upload, enter, connect, or process any real, personal, client, or confidential data of any person or business in the Training Environment.

5. Confidentiality

5.1 "Confidential Information" means anything you see, hear, or access in connection with the Training Access that is not already public, including the Training Environment, the Training Data, and Light's features, roadmap, methods, and materials.

5.2 Keep Confidential Information confidential, use it only for the training, and do not disclose or copy it except as Light allows.

5.3 These obligations continue for two years after your Training Access ends, and for as long as any item remains a trade secret.

5.4 These terms add to, and do not reduce, any other confidentiality or other obligations you or your company owe to Light. Where obligations differ, the stricter applies.

6. Acceptable use and security

6.1 Do not reverse engineer, decompile, disassemble, penetration test, load or stress test, scrape, or probe the Training Environment.

6.2 Do not attempt to access anything outside the Training Environment, including Light's production systems, source code, or any other customer's or user's data, and do not circumvent any access control.

7. Intellectual property

7.1 Light owns all intellectual property rights in Light, the Training Environment, the Training Data, and all training and enablement materials. Nothing in these terms gives you or your company any right, title, licence, or interest in any of them, other than the limited right of access in clause 2 for the Training Period.

7.2 If you give Light any feedback, ideas, or suggestions ("Feedback"), Light may use them freely, without restriction and without any obligation to you.

7.3 You may not use Light's names, logos, or brand (the "Marks"), except the title in clause 8 and only as clause 8 allows.

8. Certification

8.1 You may describe yourself as a "Certified Founding Partner" only after Light confirms you have completed the training, only while you remain an active partner in good standing, and in the manner Light approves.

8.2 Light may withdraw this right, and your use of the title and any Marks, at any time.

9. No warranty

9.1 The Training Environment and Training Data are provided "as is" and "as available", with no service level agreement and no warranties of any kind.

9.2 Light may change, suspend, or withdraw the Training Environment or the Training Data at any time.

10. Liability

10.1 To the maximum extent permitted by law, Light is not liable to you for any loss or damage arising from or in connection with the Training Access, the Training Environment, or the Training Data.

11. Suspension, expiry, and what happens after

11.1 Light may suspend or end your Training Access at any time, with or without cause.

11.2 In any case, your Training Access expires automatically 90 days after your cohort finishes.

11.3 When your Training Access ends, stop using the Training Environment and, if Light asks, delete or return any Confidential Information or materials in your possession or control.

11.4 Clauses 5, 6, 7, 9, 10, 11.3, 12, and 13 survive the end of your Training Access.

12. Personal data

12.1 To give you access, Light processes the personal data you submit (your name, work email, company, job title, and cohort) as data controller, to set up and administer your training and to contact you about it.

13. General

13.1 These terms are personal to you, and you may not assign or transfer them.

13.2 If any part of these terms is unenforceable, the rest continues to apply.

13.3 These terms are governed by Danish law, and the courts of Copenhagen have exclusive jurisdiction.
